The Amore Collective Styled Shoot Agreement

The Amoré Collective Styled Shoot Participation Agreement (“Agreement”) refers to the collaborative and participation occurrence established as of April 26th, 2025, Rachael Spoon and Kailee Morris, hereinafter referred to as “The Amoré Collective.”

The Amoré Collective is responsible for organizing and overseeing styled shoots facilitating Vendor collaboration, and managing related logistics, for the purpose of creating digital images, videos, and content for shared promotional, marketing, and portfolio purposes (“Styled Shoots”). By participating in any Styled Shoot or event organized by The Amoré Collective, participants, incorporated herein by reference (“Vendors”) agree to abide by the terms and conditions of this Agreement. Each Vendor, by applying to participate, or participating in The Amoré Collective Styled Shoots, agrees to the following terms and conditions:

  1. Scope of Services. Vendor(s) agree to participate in The Amoré Collective Styled Shoots and are expected to work collaboratively with all other participants, to maintain respectful communication with all other participants, and to contribute to the success of the shoot. Vendors shall conduct themselves professionally and respectfully throughout the planning process, on shoot day, and during teardown. The Amoré Collective shall be the sole party to determine if the Vendor meets the expected collaboration and professional conduct.

  2. Tagging, Credit, and Content Use. By participating as a photographer, videographer, or content creator, each Vendor agrees to allow all participating Vendors to use of all images, videos and content, for their own social media content, marketing materials, and portfolio purposes. Vendors shall tag all participating Vendors, including The Amoré Collective, in all social media posts and shall credit participating Vendors in any published materials derived from the shoot. Vendors may use finalized images and videos for marketing and portfolio purposes, provided all Vendors are credited appropriately. Content may not be sold or used for commercial purposes without prior written approval of The Amoré Collective. Vendors shall make sure each social media post tags @theamorecollective, @raeco.weddings, and @kaileerosephoto (instagram usernames). Vendors acknowledge that finalized photos and videos may take several weeks to be shared. All participating Vendors shall use their best efforts to provide The Amoré Collective and the other Vendors the finalized photos, videos and content as soon as possible. Vendors will not alter or edit shared content in ways that obscure or remove credit to participating Vendors.

  3.  Intellectual Property and Content. By participating in The Amoré Collective Styled Shoot, each Vendor grants to The Amoré Collective a non-exclusive, royalty-free, perpetual license to use, reproduce, and distribute images, videos, and content for promotional, marketing, and portfolio purposes. This includes but is not limited to social media, websites, and advertisements. Vendor’s may retain copyright ownership, however, by participating in this Agreement, Vendor shall grant all participating Vendors a non-exclusive, royalty-free, perpetual license to use the content for their own marketing and portfolio purposes, provided appropriate credit is given, pursuant to this Agreement. No Vendor shall claim sole rights to any of the collective work created at the Styled Shoot.

  4. Payment Terms and Participation Fees. Participation Fees may vary and are non-refundable except in cases where the Styled Shoot is canceled by The Amoré Collective. Participation Fees will be communicated to participating Vendors prior to the shoot.

  5. Scheduling and Logistics. Vendors agree to be punctual and adhere to the Styled Shoot schedule, including setup and teardown times. Any cancellations or inability to participate must be communicated as soon as possible. The Amoré Collective reserves the right to replace a Vendor with the next available participant, at their sole and absolute discretion, if necessary.

  6. Creative Contributions. Vendors shall contribute according to their agreed-upon role and expertise while respecting the creative input of other participants. Vendors acknowledge that minor adjustments to creative direction may occur to ensure cohesion.

  7. Liability Waiver. Vendors participate in the Styled Shoot at their own risk. The Amoré Collective and its organizers are not liable for any injury, loss, damage, or theft of property that may occur during the Styled Shoot. Vendors are responsible for their own equipment and materials. Each Vendor agrees to indemnify and hold harmless The Amoré Collective in the event of any injury, loss, damage, or theft of property.

  8. Dispute Resolution. In the unlikely event of a dispute, each Vendor agrees The Amoré Collective shall be the sole arbiter of such disputes, including disputes with The Amoré Collective, and each Vendor agrees The Amoré Collective shall make the final decision to resolve the matter. Vendors agree to be bound by this decision. Tennessee law shall govern this Agreement.

  9. Withdrawal Policy. If a Vendor must withdraw from participation, written notice must be provided to The Amoré Collective at least 20 days prior to the scheduled shoot date. Upon withdrawal, the withdrawing Vendor may suggest a replacement. However, final approval of the replacement Vendor will be at the sole discretion of The Amoré Collective. Participation fees are non-refundable. In the event of withdrawal, the Vendor forfeits their entire fee. The Amoré Collective has the right, but not the obligation, at their sole discretion, to issue partial refunds if the spot is timely and successfully filled by another Vendor. In cases of emergencies or unforeseen circumstances, The Amoré Collective, in their sole discretion, may waive certain policies or work with the Vendor to find a resolution. No Vendor shall have the right to subcontract or substitute another Vendor.

  10.  Force Majeure. The Amoré Collective shall not be liable for failure or delay in performance or schedule due to events beyond its control, including but not limited to natural disasters, acts of God, government restrictions, pandemics, strikes, or other unforeseen circumstances. In such cases, no refunds shall be issued; however, The Amoré Collective may reschedule the Styled Shoot at its sole discretion

  11. Legal Identity and Limitation of Liability. The Amoré Collective is not a legally registered entity, but functions as individuals who are a collaborative effort between participants. By signing this Agreement, each Vendor waives all claims, rights of action or damages, against the individual organizers, Rachael Spoon and Kailee Morris, for liability related to participation in the Styled Shoot. Vendor acknowledges that participation in the Styled Shoot involves inherent risks, including but not limited to personal injury, illness, or damage to personal property. The Amoré Collective and its organizers are not responsible for any injuries, damages, losses, or thefts occurring before, during, or after the shoot. Vendors assume all risks and agree to hold The Amoré Collective harmless and indemnify The Amoré Collective from any claims or liabilities. Participation in a Styled Shoot does not establish an employment, partnership, or joint venture relationship between the Vendor and The Amoré Collective. Vendor’s act as independent contractors and are solely responsible for their own business operations, taxes, and liabilities.

  12. Indemnification. Vendor agrees to indemnify, defend, and hold harmless The Amoré Collective, its organizers, affiliates, and representatives from any claims, liabilities, damages, losses, costs, or expenses (including attorney’s fees) arising out of or related to their participation in the Styled Shoot, including but not limited to personal injury, property damage, or copyright disputes.

  13. Confidentiality. Each Vendor agrees to maintain the confidentiality of any proprietary or non-public information disclosed by another party in connection with this Agreement or the Styled Shoot, including but not limited to client details, business strategies, pricing information, and Vendor-specific techniques (collectively, "Confidential Information"). Vendors agree to use the Confidential Information solely for the purposes of fulfilling its obligations under this Agreement; not disclose Confidential Information to any third party without the prior written consent of The Amoré Collective and agrees to limit access to Confidential Information to its employees, agents, or subcontractors who have a need to know and are bound by similar confidentiality obligations. The obligations of confidentiality shall not apply to information that is or becomes publicly available through no fault of the Vendor; is independently rightfully obtained from a third party without breach of any confidentiality obligation; or is required to be disclosed by law or court order.

  14. Amendments and Miscellaneous Provisions. The Amoré Collective reserves the right to update or amend this Agreement as necessary. Vendors will be notified of any significant changes. All notices, statements and payments to be made shall be given or made to The Amoré Collective or Vendor the respective set forth herein. Nothing herein contained shall be construed to place the parties in therelationship of partners or joint venturer. Whenever possible each provision of this Agreement shall be interpreted in such a manner as to be effective and valid under applicable law, but if any provision of this Agreement shall be prohibited, void, invalid, or unenforceable under applicable law, such provision shall be ineffective to the extent of such prohibition, invalidity, voidability, or enforceability without invalidating the remainder of such provision or the remaining provisions of this Agreement.
